1. Acceptance of terms

By creating an account or using the CHECKPOINT platform, you agree to these Terms of Service. If you do not agree, do not use the platform. These terms apply to all users, including participants, affiliate partners, and administrators.

2. Description of service

CHECKPOINT is an AI-powered strategic opportunity discovery and executive peer matching platform. The platform identifies and delivers strategic business opportunity recommendations between participating companies and facilitates executive peer connections. CHECKPOINT is NOT an investment platform, brokerage, financial adviser, marketplace for securities, or capital-raising service.

3. Prohibited uses

You may not use the platform to: (a) solicit investment or capital from other participants; (b) offer or solicit securities, loans, or financial instruments; (c) conduct unsolicited sales prospecting or spam; (d) misrepresent your company, role, or strategic intent; (e) scrape, crawl, or extract platform data without authorization; (f) circumvent the bilateral consent system to obtain contact information; (g) use another company's profile data for competitive intelligence outside the platform's intended purpose.

4. Account and profile accuracy

You agree to provide accurate, current, and complete information in your company and executive profiles. Deliberately false or misleading profile information may result in immediate account termination. CHECKPOINT relies on profile accuracy to generate meaningful matches. Inaccurate profiles harm all participants.

5. Bilateral consent and introductions

Contact information is only shared when both parties have independently expressed interest in an opportunity or connection. Expressing interest does not obligate you to proceed with any introduction. Once contact is shared, any communications are between the parties. CHECKPOINT is not a party to any resulting business relationship.

6. AI-generated content

Opportunities and connection recommendations are generated by AI and are for informational purposes only. They are not legal, financial, or professional advice. CHECKPOINT makes no guarantee regarding the accuracy, completeness, or commercial viability of any generated opportunity. You are responsible for independently evaluating any opportunity before acting on it.

7. Subscription and billing

Paid subscriptions are billed monthly or annually as selected. All fees are non-refundable except as required by applicable law. You may cancel at any time; cancellation takes effect at the end of the current billing period. CHECKPOINT reserves the right to change pricing with 30 days' notice to existing subscribers.

8. Opportunity Blueprint

Blueprint purchases are non-refundable once generation has commenced. Blueprints are generated per accepted opportunity and are provided as-is. CHECKPOINT does not warrant that any Blueprint strategy will achieve the projected outcomes described.

9. Affiliate program

Affiliates earn commissions on referred subscriptions as described in the Affiliate Agreement. Commissions are paid on confirmed, non-refunded subscriptions. CHECKPOINT may modify commission rates with 60 days' notice to active affiliates. Founding Partner commission terms are subject to separate written agreements.

10. Intellectual property

All platform software, AI pipeline logic, brand assets, and documentation are the intellectual property of CHECKPOINT Technologies. You retain ownership of your company profile data. By submitting profile data, you grant CHECKPOINT a non-exclusive license to use that data to operate the matching and discovery services.

11. Limitation of liability

To the maximum extent permitted by applicable law, CHECKPOINT Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the platform, including loss of business, loss of revenue, or failure to realize an expected opportunity. The platform's total liability for direct damages shall not exceed the fees paid by the user in the preceding 12 months.

12. Governing law

These terms are governed by the laws of Brazil. Disputes shall be resolved by the courts of São Paulo, Brazil, unless otherwise required by applicable consumer protection laws in your jurisdiction.

13. Changes to these terms

CHECKPOINT may update these Terms of Service from time to time. Continued use of the platform after notice of changes constitutes acceptance of the updated terms. Material changes will be communicated by email to account holders.
